MỤC ĐÍCH:
Bên cho thuê là người sử dụng hợp pháp Văn phòng
Bên thuê có nhu cầu xin cấp giấy chứng nhận Đầu tư và thành lập Công ty TNHH [________] tại thành phố Hồ Chí Minh, Việt nam (sau đây gọi là “Công ty”), và muốn sử dụng văn phòng làm trụ sở chính của Công ty.
HAI BÊN CÙNG THỎA THUẬN NHỮNG ĐIỀU KHOẢN SAU:
Sau khi được cấp giấy Chứng nhận Đầu tư bởi cơ quan có thẩm quyền tại Việt Nam, Công ty sẽ sử dụng văn phòng này làm trụ sở chính.
Công ty và Bên cho thuể sẽ ký hợp đồng thuê chính thức với phí cho thuê được thỏa thuận giữa Bên cho thuê và Công ty, theo các điều khoản về sử dụng làm văn phòng, Công ty sẽ được sử dụng địa điểm này làm trụ sở chính, ngay khi được cấp giấy chứng nhận Đầu tư.
Biên bản thỏa thuận này được lập thành 4 bản có giá trị như nhau bằng Tiếng Việt và Tiếng Anh, mỗi bên giữ một bản và một bản được nộp cho cơ quan chức năng tiếp nhận hồ sơ đăng ký đầu tư của Công ty.
Thỏa thuận này có hiệu lực ngay sau khi ký và chỉ hết hiệu lực nếu Hợp đồng thuê văn phòng chính thức được ký trước ngày thỏa thuận này hết hạn.

MEMORANDUM OF UNDERSTANDING 
FOR OFFICE LEASE
This MEMORANDUM OF UNDERSTANDING (MOU) is made on this day of [________] in Ho Chi Minh City, Vietnam:

2.	THE LESSOR

Being the lawful user of [________] Building at [________] and want to rent Room [________] of [________] Building out to Lessee (“Office”).
(Hereinafter referred to as the “Lessor”). 
WHEREAS:
The Lessor is the lawful user of the Office
The Lessee intends to apply for an Investment Certificate for the establishment of [________] Company, a company established in Ha Noi, Vietnam (hereinafter referred to as the “Company”), and would like to use the Office for the purpose of locating the head office of the Company.
NOW IT IS THEREFORE AGREED BY THE PARTIES AS FOLLOWS:
After issuance of the Investment Certificate for the establishment of the Company by the relevant authority in Vietnam, the Company will use the Office as its head office.
The Company and the Lessor will enter an official Lease Contract with the Rent to be agreed by the Lessor and the Company, setting forth the terms and conditions for using the Office, under which the Company will use the Office as its head office, as soon as the issuance of the Investment Certificate.
This MOU is made in 4 copies in both English and Vietnamese, both of language versions shall have equal validity, one copy of each language shall be retained by each Party and one shall be submitted to the relevant authority for the Investment Certificate for the Company.
This MOU comes into force as the signing date hereof, and shall continue in full force unless an official Lease Contract for using the Office between the Company and the Lessor is signed before expiry of the said period.
